GENERAL TERMS AND CONDITIONS OF PURCHASE
1. ACCEPTANCE. This Purchase Order, including these terms
and conditions, constitutes Buyer's offer to Seller. Acceptance is expressly limited to the
terms hereof. Seller's acknowledgment, commencement of performance, or delivery of goods shall
constitute acceptance of this Purchase Order and all its terms. Any terms or conditions proposed
by Seller which are in addition to, or inconsistent with, the terms herein are hereby rejected.
2. DELIVERY. Time is of the essence. If Seller fails to
deliver goods or services by the date(s) specified, Buyer may, without liability, and in
addition to its other rights and remedies, terminate this order as to any undelivered goods or
unperformed services and purchase substitute goods or services elsewhere. Seller shall be liable
for any excess costs incurred by Buyer. Delivery shall be DDP (Incoterms 2020) unless otherwise
specified.
3. PRICING AND PAYMENT. Prices are firm and not subject to
escalation. Payment terms are Net 30 days from receipt of a proper invoice and satisfactory
delivery. Buyer may withhold payment of any invoiced amounts that Buyer disputes in good faith.
All amounts are in United States Dollars unless otherwise stated. Seller shall be responsible
for all applicable taxes, duties, and fees.
4. QUALITY AND INSPECTION. All goods furnished shall
conform strictly to the specifications, drawings, samples, and other descriptions referenced
herein. Buyer reserves the right to inspect all goods at Seller's facility prior to shipment.
Payment shall not constitute acceptance. Buyer shall have a reasonable period after delivery to
inspect and reject non-conforming goods. Seller shall bear all costs of return and replacement
of rejected goods.
5. WARRANTY. Seller warrants that all goods and services
shall (a) conform to applicable specifications, drawings, and descriptions; (b) be free from
defects in material and workmanship; (c) be merchantable and fit for the intended purpose; (d)
comply with all applicable laws, regulations, and industry standards. This warranty shall
survive inspection, acceptance, and payment.
6. INDEMNIFICATION. Seller shall indemnify, defend, and
hold harmless Buyer, its affiliates, officers, directors, employees, and agents from and against
any and all losses, damages, liabilities, claims, demands, suits, judgments, costs, and expenses
(including reasonable attorneys' fees) arising out of or relating to (a) any breach of Seller's
representations, warranties, or obligations; (b) any negligent or willful act or omission of
Seller; (c) any claim of patent, trademark, or copyright infringement.
7. CONFIDENTIALITY. Seller shall treat as confidential all
information, data, drawings, specifications, and other materials received from Buyer or
generated in connection with this order. Seller shall not disclose such information to any third
party without Buyer's prior written consent. This obligation shall survive the completion or
termination of this order for a period of five (5) years.
8. LIMITATION OF LIABILITY. In no event shall Buyer be
liable for any incidental, consequential, special, or punitive damages arising out of or related
to this Purchase Order, regardless of the theory of liability. Buyer's total liability shall not
exceed the purchase price of the specific goods or services giving rise to the claim.
9. FORCE MAJEURE. Neither party shall be liable for delays
or failures in performance resulting from causes beyond its reasonable control, including acts
of God, war, terrorism, pandemic, government actions, or natural disasters, provided the
affected party gives prompt notice and uses commercially reasonable efforts to mitigate the
effects thereof.
10. GOVERNING LAW. This Purchase Order shall be governed by
and construed in accordance with the laws of the State of Texas, without regard to its conflict
of laws principles. Any dispute arising under this order shall be resolved exclusively in the
state or federal courts located in Harris County, Texas.

4. Marking & Traceability
All items shall be permanently marked per applicable ASME/ASTM standards with: manufacturer's name or trademark, material grade, heat number, size, pressure rating, and applicable standard. Each item shall be individually traceable to its original Mill Test Certificate.
